These Terms & Conditions ("Terms") govern your use of MotionValidator, a citation verification service operated by Citational Limited ("we," "us," or "our"). By accessing or using MotionValidator, you agree to be bound by these Terms. If you do not agree to these Terms, do not use MotionValidator.

You Are Responsible for Your Filings

MotionValidator is a verification tool, not a substitute for professional judgment. You remain solely and completely responsible for:

• All documents you file with any court.
• All arguments you make to any court or tribunal.
• All citations and legal authorities you rely upon.
• Verifying the accuracy of any output from MotionValidator.
• Complying with all applicable rules of professional conduct.
• Meeting all court rules, deadlines, and filing requirements.

Your name is on the brief. The ultimate responsibility is yours.

Professional Conduct

You acknowledge that:

• MotionValidator provides information and analysis, but does not provide legal advice.
• You must exercise independent professional judgment in all matters.
• You are responsible for complying with all applicable ethics rules and professional responsibilities.
• No output from MotionValidator relieves you of your duty of competence, diligence, and candor to the tribunal.

Review All Results

You agree to:

• Review all verification results independently.
• Verify any citations or authorities before relying on them.
• Not blindly rely on MotionValidator's output without independent verification.
• Apply your own legal judgment to all matters.

We do not provide: Legal advice or attorney services; guarantees of accuracy or completeness; substitutes for legal research or professional judgment; court representation or filing services.

Data Sources and Limitations

Third-Party Data Sources

MotionValidator's citation verification relies on a replica of the Free Law Project/CourtListener corpus and other publicly available legal databases. You acknowledge and agree that:

• We do not create, verify, or guarantee the accuracy of underlying legal databases.
• The Free Law Project corpus, while comprehensive, may contain errors, omissions, or outdated information.
• We are not liable for errors, omissions, or inaccuracies in third-party data sources.
• Court opinions may be amended, corrected, or withdrawn after publication.
• Legislative changes may occur after data is updated.
• We make reasonable efforts to maintain current data but cannot guarantee real-time accuracy.

Service Limitations

MotionValidator is a tool to assist attorneys, but it:

• May not catch all errors or issues in a document.
• Cannot replace thorough legal research.
• Cannot guarantee that all citations are correct or properly applied.
• Cannot verify the strategic soundness of legal arguments.
• May produce false positives or false negatives.

Limitation of Liability

Maximum Liability

To the maximum extent permitted by law: Our total aggregate liability to you for all claims arising out of or relating to your use of MotionValidator, whether in contract, tort, or otherwise, shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Excluded Damages

We are not liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Lost profits, lost revenue, or lost business opportunities.
• Damages arising from court sanctions, adverse judgments, or professional discipline.
• Damages arising from filing errors, missed deadlines, or procedural mistakes.
• Damages from reliance on MotionValidator's output.
• Damages from errors in third-party data sources (including the Free Law Project corpus).
• Damages from service interruptions, data loss, or security breaches.
• Any damages exceeding the amount you paid for the service.

Professional Liability

We are not liable for sanctions imposed by any court or tribunal; malpractice claims arising from your use of MotionValidator; ethics violations or professional discipline; adverse case outcomes; missed statutes of limitation or procedural deadlines; or any consequences of filing errors or inaccurate citations.

You assume all risk associated with using MotionValidator in your legal practice.

Disclaimers and Warranties

No Warranties

MotionValidator is provided "as is" and "as available" without warranties of any kind. We expressly disclaim all warranties, including but not limited to:

• Accuracy: We do not warrant that verification results are accurate, complete, or error-free.
• Reliability: We do not warrant uninterrupted, timely, or error-free service.
• Fitness for Purpose: We do not warrant that MotionValidator is suitable for your specific needs.
• Data Quality: We do not warrant the accuracy of underlying data sources.
• Non-Infringement: We do not warrant that use of the service will not result in claims against you.

Indemnification

You agree to indemnify, defend, and hold harmless Citational Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of MotionValidator, your violation of these Terms, any filing you make with any court, or any sanctions/discipline arising from your use of the service.

Account Terms

Eligibility and Security

MotionValidator is available only to licensed attorneys in the US and associated legal organizations, and other professionals who require validation of legal documents in a US (state or federal) legal setting. You are responsible for maintaining the confidentiality of your account credentials and all activity that occurs under your account.

Acceptable Use

You agree not to use MotionValidator for unlawful purposes, attempt to reverse engineer the service, use automated scraping tools, or share your account credentials with others.

Billing and Payment

Payment Processing

Payments are processed by Paddle, our merchant of record. By subscribing, you agree to Paddle's terms and pricing. Subscriptions renew automatically unless cancelled before the next billing date.

We reserve the right to change pricing with at least 30 days' notice to existing subscribers.

All refunds are governed by our Refund Policy.

Intellectual Property

Our Rights

MotionValidator software, designs, and content are owned by Citational Limited. You may not copy, modify, or create derivative works of our service.

Your Content

You retain all rights to documents you upload. You grant us a limited license to process and store your documents solely to provide the service. This license terminates when your documents are deleted (automatically after 7 days or manually by you).

Privacy and Security

Your use of MotionValidator is subject to our Privacy Policy. Key protections include: no AI training on your documents, 7-day auto-deletion, and US-only storage.

While we implement robust security measures, we cannot guarantee absolute security and are not liable for incidents beyond our reasonable control. For details, see our Security & Trust page.

Governing Law and Dispute Resolution

Governing Law: These Terms are governed by the laws of New York.

Arbitration: You agree to binding arbitration in New York, NY, in accordance with AAA rules. You waive your right to participate in class actions.
